Application for enrolment

Regulations on the manner of keeping the Register of legal entities established by institutions of Bosnia and Herzegovina (hereinafter: the Regulation), prescribes the form and content of the Register, the form and content of the application for registration in the Register and the forms to be attached to the application, the registration procedure, the procedure for amendment and supplementation of the registration and other matters of significance for the registration and maintenance of the Register.

Registration in the Register of Registrants, amendments to the data in the Register of Registrants, or the deletion of a registrant from the Register is carried out on the basis of a single application on Form 1, which the authorised representative of the registrant submits to the Ministry. The application contains the information that must be entered in the Register by law.

The data are entered on the record sheets, on Form 2, and form an integral part of the application, depending on the type of data being recorded.

The forms form an integral part of the Regulations and are available on the website of the Ministry of Justice of Bosnia and Herzegovina. The forms include instructions on how to complete them. They must be filled in on a typewriter or computer, provided that they are not crossed out or erased.

COPY FROM THE REGISTER

Enrolment in Government

  1. For registration in the Register of Registrable Entities, the application must be accompanied by records sheets number 1, 2, 3, 4 and 5, and numbers 6 and 7 if the registrable entity uses a sign or seal, or has a board of directors, and if the registered entity has a branch or other parts with powers in legal transactions, numbers 8, 9 and 10 (if branches are established in the entity's registration documents) and the following documents and evidence are attached:

    1. the statute or founding act of the entity to be registered, if any, certified with the seal and/or signature of an authorised person;

    2. a document appointing a person to represent the registered entity and a certified signature of the person so appointed, on Form 3;

    3. instrument of appointment of the members of the Board of Directors, if any;

    4. a deed of appointment of the branch manager and the certified signature of the person authorised to represent;

    5. proof of payment of the fee; and

    6. other documents and evidence, if the Ministry determines that they are necessary for establishing the facts in the proceedings.

  2. If a branch is established after the registration of the entity in the Register, the application must be accompanied by amendments and additions to the articles of association establishing the branch, and by the documents referred to in point 4 of this Act.

  3. The application for registration, together with the attached records, must be submitted in two identical copies, signed by an authorised representative of the registrant, or by one of the authorised representatives, and certified with the registrant's seal (if used).

  4. Documents and evidence must be submitted in the original, as a certified transcript or as a certified copy, in a single copy.

  5. Legal entities registered in the Register in accordance with the provisions of the said Law carry out the activities established by their statute or founding act, in accordance with the Constitution and laws of Bosnia and Herzegovina, and have the right to operate throughout the entire territory of Bosnia and Herzegovina.

Changes to register data

Along with the application for the registration of a change of data arising at the registered entity, the following records 1 to 9 are attached, in which the data to be changed are specified:

  1. Registration of a change of name, registered office and activities, with the application is attached an amendment and supplement to the articles of association or the deed of incorporation,

  2. Registration of a change in the person authorised to represent the registered entity; the application must be accompanied by the document evidencing the change in the person authorised to represent the entity, on Form 4.

  3. Registration of changes to the board of directors; the application is accompanied by the deed of change to the board of directors.

  4. Proof of payment of the fee.

Deletion from the register

For registration of the cessation of operations of the registered entity and its deletion from the Register of Registered Entities, the application must be accompanied by Record Sheet No. 10 and the decision on the cessation of operations of the registered entity; for the application to delete a branch from the Register, the amendment and supplement to the articles of association must be attached as proof of the branch's cessation of operations.
